Welcome to the Irys service (the “Service”, as defined below). We hope you will have a great experience as part of our technology, cybersecurity, and case management services. Please review these Terms of Service thoroughly before commencing use of our Service.

In these Terms of Service, “Irys” means Irys Technologies, Inc., a Delaware corporation with offices at 212 N Alamo St, San Antonio, TX 78205 (hereinafter, “Irys” or the “Company”). We provide such services to you subject to the following conditions. Before you may use the Service, you must read and accept all of the terms and conditions in, and linked to, these Terms of Service (“TOS” or “Terms”) and the linked Privacy Policy, which are incorporated into and made part of these Terms. These Terms are applicable regardless of whether you are accessing the Service through the Internet, our website, our mobile applications, or otherwise. If the TOS conflict with any other documents or agreements, the TOS will control for the purposes of usage of the Service. If you do not agree to be bound by these TOS and the Privacy Policy, you may not use the Service in any way.

These Terms constitute an electronic contract between you and Irys. By accessing or using the Service, you indicate your unconditional acceptance of these Terms. Please review these Terms carefully, including the arbitration provision, which describes how disputes will be resolved between us, and that no class actions may be brought under these Terms. We reserve the right, in our sole discretion, to update or revise these Terms of Service. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

1. Description of Services

Irys provides users with access to secure technology services including, but not limited to, digital case management solutions, cybersecurity tools, and data handling platforms. Collectively, all of these services are referred to in these TOS as the “Service” or “Services”.

2. Use of the Service

Irys grants you a limited license to access and make personal or organizational use of the Service. You may not use the Service for any unlawful purpose or for activities that infringe on the rights of Irys or others. Unauthorized use terminates the license granted by Irys.

3. Membership Eligibility

Users must be 18 years or older (or 13 years with parental consent) to register. By using the Service, you represent that you meet these requirements and have not been previously barred from the Service.

4. User Content

You are solely responsible for all content you post or transmit through the Service. By submitting content, you grant Irys a non-exclusive, worldwide license to use, reproduce, and distribute such content in connection with providing the Service.

5. Data & Compliance

You agree to comply with all applicable laws, regulations, and industry standards, including but not limited to data protection, cybersecurity, and export control requirements. Irys makes no guarantees that use of the Service ensures compliance with any laws or regulations applicable to you.

6. Intellectual Property

All content, software, and materials provided by Irys are the property of Irys or its licensors and are protected by intellectual property laws. You may not copy, distribute, or create derivative works without prior written consent.

7. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available.” Irys disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Irys shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from use of the Service. Liability shall not exceed the greater of $25 or the amount you paid for

8. Termination

Irys may suspend or terminate your access to the Service at its sole discretion. Upon termination, all rights and licenses granted to you will cease immediately.

9. Arbitration; Governing Law

Any disputes will be resolved by binding arbitration in Bexar County, Texas, under the rules of the American Arbitration Association. These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles. You waive any right to a jury trial or class action.
